Ltd. and its affiliates (“Str8bat”, “we”, “us”, “our”) in relation to the operation of the website (https://www.str8bat.com) (“Website”) and the usage/ purchase of products of Str8bat (“Products”/ “Str8bat Products”).
The Website is operated by Str8bat having its registered office at 151, Chin Swee Road, #07-12 Manhattan House, Singapore. We own and operate the Website, the Str8bat app and the Products. For ease of reading and clarity, the Website, Str8bat app and the Products are collectively referred to as the “Services”.
These Terms along with the Privacy and Cookie Policy govern your access to and use of the Services, so please read them carefully before using the Services. By accessing and using any of the Services, you agree to be bound by these Terms. If you do not agree to be bound by these Terms, please do not access or use any of the Services.
As our business grows and we add new functionality to the Services, we may revise these Terms at any time and without giving you prior notice. The last date these Terms were revised is written on the top of this document. Your acceptance of these Terms (including revised Terms through your continued access and use of the Services), along with other terms and conditions, policies and disclaimers of Str8bat, constitutes a valid and binding agreement between you and Str8bat.

In the event, you are not willing to accept these Terms, you are not authorized or allowed to proceed further to view or use in any manner any content, information, course, products and services which are published, available or provided on the Website.

Use of the Services allows us to gather information from and about you. Use Of Content
The content contained in Services, such as text, graphics, images, audio, video and other material, as well as the domain names, tagline, organization and user look and feel (collectively, the “Content”), is protected by copyright, trademark and other such laws of Singapore, India and other foreign countries, and is owned or controlled by Str8bat. Unauthorized use of the Content may violate copyright, trademark, and other applicable laws.
In the event where we provide updates on Str8bat app, and you download such update(s), the updates, including without limitation any files, images incorporated in or generated by the updates, and data accompanying the updates (collectively, the “Update”) is licensed to you by us for your personal, non-commercial use only.
We do not transfer title to the Services to you. You may not distribute or otherwise exploit the Services or decompile, reverse engineer, disassemble or otherwise reduce the Services to a human-readable form.
TO THE FULLEST EXTENT PERMITTED BY LAW, STR8BAT SHALL NOT BE LIABLE FOR (1) ANY INACCURACY, ERROR IN OR FAILURE OF THE SOFTWARE; (2) ANY LOSS OR DAMAGE (INCLUDING WITHOUT LIMITATION ANY CONSEQUENTIAL, INDIRECT, INCIDENTAL, SPECIAL OR EXEMPLARY DAMAGES) ARISING FROM ANY DOWNLOAD OR USE MADE OF THE SOFTWARE, OR OCCASIONED BY ANY SUCH INACCURACY, ERROR OR FAILURE OF THE SOFTWARE
Str8bat Accounts
The term Str8bat Account shall have the meaning ascribed to it under the Str8bat Terms of Subscription. Some Services require you to create a Str8bat Account to participate or to secure additional benefits. You agree to provide, maintain and update true, accurate, current, and complete information about yourself as prompted by our registration processes (the “Registration Data”). You agree not to impersonate any person or entity or misrepresent your identity or affiliation with any person or entity, including using another person’s username, password or other account information, or another person’s name, likeness, voice, image or photograph. You also agree to notify us promptly at contact@str8bat.com of any unauthorized use of your username, password, other account information, or any other breach of security that you become aware of involving or relating to any Services.
We may suspend or terminate your account and your ability to use any Services or portion thereof for failure to comply with these Terms or any specific terms related to a particular Service.
Limitation of Liability.
Under no circumstances will Str8bat be liable for any incidental, special or consequential damages arising out of or related to this Terms. In no event Str8bat will be held liable for any damages arising out of or related to these Terms.
Str8bat makes no representations or warranties about the accuracy, reliability, completeness, or timeliness of the Content or about the results to be obtained from using the Services and the Content. Any use of the Services and the Content is at your own risk. Changes are periodically made to Services and may be made at any time. Str8bat further reserves the right to modify, suspend, or discontinue any Service or a feature of the Services (including any changes to or removal of Content) at any time with or without notice to you, and Str8bat shall not be liable to you or to any third party should it exercise such rights. Some Content on the Website/ Str8bat application may be provided by third parties, and Str8bat is not responsible for the accuracy of such Content provided by third parties.
STR8BAT DOES NOT WARRANT THAT THE SERVICES WILL OPERATE ERROR-FREE OR THAT THE STR8BAT SITES/APPS OR THEIR SERVERS ARE FREE OF COMPUTER VIRUSES OR OTHER HARMFUL GOODS. IF YOUR USE OF THE SERVICES OR THE CONTENT RESULTS IN THE NEED FOR SERVICING OR REPLACING THE PRODUCT OR LOSS OF PROFITS OR DATA, STR8BAT WILL NOT BE RESPONSIBLE FOR THOSE COSTS.
THE SERVICES AND CONTENT ARE PROVIDED ON AN ‘AS IS’ BASIS WITHOUT ANY WARRANTIES OF ANY KIND. STR8BAT, TO THE FULLEST EXTENT PERMITTED BY LAW, DISCLAIMS ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE WARRANTY OF MERCHANTABILITY, NONINFRINGEMENT OF PROPRIETARY OR THIRD-PARTY RIGHTS, AND THE WARRANTY OF FITNESS FOR PARTICULAR PURPOSE.
STR8BAT SHALL USE REASONABLE EFFORTS TO PROTECT INFORMATION OR DATA SUBMITTED BY YOU TO A STR8BAT WEBSITE/APP IN CONNECTION WITH ANY SERVICE ON OR FEATURE OF THE STR8BAT, BUT YOU AGREE THAT YOUR SUBMISSION OF SUCH INFORMATION OR DATA IS AT YOUR SOLE RISK, AND YOU HEREBY RELEASE STR8BAT FROM ANY AND ALL LIABILITY TO YOU FOR ANY LOSS OR LIABILITY RELATING TO SUCH INFORMATION IN ANY WAY.
STR8BAT IS NOT RESPONSIBLE FOR ANY DATA CHARGES YOU MAY INCUR IN CONNECTION WITH YOUR USE OF ANY SERVICE ON OR FEATURE OF THE STR8BAT.

If any of these Terms are be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these terms are intended to be effective, then to the extent and within the jurisdiction which that term is illegal, invalid or unenforceable, it shall be severed and deleted and the remaining Terms shall survive, remain in full force and effect and continue to be binding and enforceable.
Indemnification.
User agrees to indemnify and hold Str8bat> and each of our affiliates, successors and assigns, and their respective officers, directors, employees, agents, representatives, licensors, advertisers, suppliers, and operational service providers harmless from and against any and all losses, expenses, damages, costs and expenses (including attorneys’ fees), resulting from your use of the Services and/or any violation of the Terms. We reserve the right to assume the exclusive defense and control of any demand, claim or action arising hereunder or in connection with the Services and all negotiations for settlement or compromise. You agree to fully cooperate with us in the defense of any such demand, claim, action, settlement or compromise negotiations, as requested by us.
Non-assignment.
Users shall not assign or transfer or purport to assign or transfer the agreement between the user and Str8bat to any other person.
Exclusion.
Except as expressly stated in these Terms, all warranties and conditions, whether expressed or implied by statute, common law or otherwise are hereby excluded to the extent permitted by law.

We reserve the right to unilaterally amend or modify these Terms without giving any prior notice to you. No representation, undertaking or promise shall be taken to have been given or be implied from anything said or written in negotiations between you and Str8bat prior to these Terms except as expressly stated herein. Neither You nor Str8bat shall have any remedy in respect of any untrue statement made by the other upon which that party relied in entering into these Terms (unless such untrue statement was made fraudulently or was as to a matter fundamental to a party’s ability to perform these Terms) and that party’s only remedy shall be for breach of contract as provided in these Terms.
All dealings, correspondence and contacts between us shall be made or conducted in the English language. If any part of these Terms is held invalid or unenforceable, that part will be construed to reflect the parties’ original intent, and the remaining portions will remain in full force and effect. A waiver by either party of any provision or term of these Terms or any breach thereof, in any one instance, will not waive such term or condition or any subsequent breach thereof. You may not assign your rights under these Terms to any party. However, we may assign our rights under these Terms without seeking your permission/approval and the same shall continue to be legally binding on you. These Terms will be binding upon and will insure to the benefit of the parties, their successors, and permitted assigns.
